MOUNTAIN TOP INDUSTRIES APS GENERAL TERMS OF SALE

The following General Terms of Sales applies to all sales of products sold by Mountain Top Industries ApS (hereinafter referred to as ”MTI” and/or ”the Supplier”) to any customer of MTI (hereinafter referred to as ”the Purchaser”).

1. ORGALIME S 2000.
All sales of products from MTI are made subject to ORGALIME S 2000 (”General Conditions for the supply of Mechanical, Electrical and Electronic Products” Brussels august 2000) with the amendments and derogations stated in the present General Terms of Sales. In case of conflict between these General Terms of Sales and ORGALIME S 2000, the General Terms of Sales shall prevail.

2. Contract formation (derogation from ORGALIME S 2000, clause 1).
 Unless otherwise expressly provided for in an offer and/or in a written order confirmation from MTI or expressly agreed in writing between MTI and the Purchaser, the terms of the present General Terms of Sales and ORGALIME S 2000 shall be deemed accepted by the Purchaser in their entirety by Purchaser’s acceptance of an offer or by Purchaser’s placement of an order.

3. Payment (amendment to ORGALIME S 2000, clause 18).
Unless the purchaser reacts on the order confirmation within 7 days of the date of the Order confirmation, the order confirmation is binding. Unless otherwise is stated on the order confimation the payment should be made in advance (prepayment).

4. Payment (amendment to ORGALIME S 2000, clause 19).
 Payment shall be made as an electronic bank transfer. All expenses in the purchasers own country has to be paid by the purchaser.

5. Payment (amendment to ORGALIME S 2000, clause 20).
 By over due payments a 2% interest per commencing month will be added.

6. Disputes and applicable law (derogation from ORGALIME S 2000, clauses 44-45).
Disputes arising out of or in connection with all offers, sales of products and supply of products and services from MTI shall be brought before the Maritime and Commercial Court in Copenhagen (or failing jurisdiction of said court), the Danish court at the seat of MTI with subject matter jurisdiction over the dispute.
